Terms and Conditions

Congratulations for choosing the products and services of EALLIANCE™. This Agreement is a contract between you (customer or user) and EALLIANCE™ GROUP (pty) LTD (EALLIANCE™, we, our subsidiaries, or The Company) and applies to your use of: (a) all EALLIANCE™ Mobile Applications, the www.ealliance.trade website, and all websites developed by EALLIANCE™, and (b) the products and services provided by EALLIANCE™ on its " websites" and "applications."

This Agreement shall strictly apply to our products and services with respect to transactions and exchanges involving virtual currencies, including cryptocurrencies, and any other digital assets, the purchase, sale and exchange of virtual currency and/or any other currencies into local currencies.

EALLIANCE GROUP (pty) LTD. is a company registered in South Africa with registration number 2019/537646/07 and its registered office is Atrium On 5th; 9th Floor 5th Street Sandton, Johannesburg, 2196, South Africa. The company's primary business is FINTECH.

By opening a cryptocurrency wallet on EALLIANCE™, you agree to abide by the terms or policies applicable to the notifications that appear on our websites and Mobile Applications and guidelines provided or made available to you thereon or others that are referenced in this Agreement, which we may change at any time without prior notice to you or your prior consent.

You may not transfer or assign your rights or obligations under this Agreement to any third party without our prior express written approval.

We reserve the right to transfer or assign this Agreement or any rights or obligations under this Agreement at any time without your consent. This does not affect your rights to terminate or delete your wallet.

1. The Agreement
   1. By logging into or using the Services, the Products, our mobile applications, websites, copying, downloading or printing materials from the website, or otherwise using our computer applications, you agree (either on your own "behalf" or on behalf of the "company" you represent) to comply with the applicable requirements and to be legally bound by this Agreement. Please note that if you do not agree with any of the terms and conditions set forth in this Agreement, you must not access or use our various products and services.
   2. In order to use our products and services you must meet the following requirements:
      You are of legal age (18 years or older, depending on the age of majority applicable in your country of residence), you are legally or judicially free, and you have the intellectual capacity to enter into this Agreement. By agreeing to use the Services, you warrant that you are of legal age and bear all responsibilities under this Agreement.
      You may not use the name, or act for the benefit of any third party, unless you are opening the wallet for your own company or the company employing you has formally authorized or delegated you to open a wallet on their behalf. You represent and warrant that where these Terms refer to you, they automatically refer to you and the respective company and that the said company agrees to be responsible for any other user accessing our products and services on its behalf.
      We are free to restrict or prohibit the use of or access to all or part of our services in certain locations or countries due to various regulatory requirements.
   3. Whenever you use our App to make a transaction, you understand, acknowledge and agree to the transaction, withdrawal and exchange rate fees on the Application and on external networks. If you do not agree to the transaction fees and exchange rates, you may not use our services.
   4. We may amend or modify this Agreement by posting a revised Agreement on our Applications and on the Websites by notice or update. These changes will appear on your screen when you log in and require you to read and accept them before accessing your wallet. In case you do not agree to be bound by the modified agreement, you must empty and delete your EALLIANCE™ wallet or stop using the application and services. But if you continue to use the app and services after this agreement is amended, you are indicating that you agree to be bound by the amended agreement.
2. How It Works
   1. Our various products and services are made available to you subject to these terms and conditions.
   2. If you are an individual, after creating an EALLIANCE™ wallet, you can send, receive, convert your Bitcoins or other cryptocurrencies into stable coins and withdraw them at with an Authorized EALLIANCE™ Distributor or Agent in your neighborhood in the countries where EALLIANCE™ operates. You can receive Bitcoin from any bitcoin wallet by sending your blockchain address identifiable on your EALLIANCE™ wallet. You may send bitcoin from your EALLIANCE™ wallet to any bitcoin wallet outside the EALLIANCE™ network.
      1. If you conduct a transaction involving sending virtual currencies to sell or buy at a third party or exchange platform outside the EALLIANCE™ network, you will be solely responsible for what happens to your assets that you send outside the EALLIANCE™ network.
      2. All transactions on the blockchain technology are subject to validation and verification. Transactions between users on the EALLIANCE™ network are almost instantaneous. But blockchain transactions outside the EALLIANCE™ network, being subject to several blockchain confirmations, before being confirmed, the confirmation of such transactions sometimes takes longer.
   3. Converting Bitcoin into stable coins
      To start a conversion on your EALLIANCE™ wallet, (a) Transfer bitcoins to your EALLIANCE™ wallet or make sure there is bitcoin on your wallet; (b) Click on the 'Convert' button, then write the amount you would like to convert in USD; you will see the total amount in the equivalent cryptocurrency approximately corresponding to your local currency according to the exchange rate of the period and fees; (c) Confirm your exchange transaction, by clicking on 'Convert Now'. The wallet of stable coin corresponding approximately to your local currency automatically will receive the value you just converted.
   4. Cash Withdrawals
      To make a value withdrawal from your EALLIANCE™ wallet, (a) go to an Authorized EALLIANCE™ distributor in your neighborhood you and click on 'Withdraw' at the bottom of your App screen then write the amount you would like to withdraw and scan the authorized agent's QR code, or (b) choose one of the other three (3) options if available in your country, and (c) validate the withdrawal transaction.
      On the EALLIANCE™ application, to make a value withdrawal, you have four (4) options which are as follows: 1.) Withdrawal from an authorized local EALLIANCE™ distributor, 2.) Withdrawal by mobile money from GSM networks (available in some African countries), 3.) Withdrawal to EALLIANCE™ co-branded prepaid VISA card or MasterCard, 4.) Withdrawal to your bank account by bank transfer.
      As soon as you confirm the withdrawal transaction, the value will be debited with the applicable fees.
      If you withdraw: 1) from an authorized local EALLIANCE™ distributor /agent, they will pay you the amount to be cashed out immediately; 2) by mobile money, the amount of your withdrawal will be deposited to the wallet of your mobile money number; this may take between 30 seconds to 3 hours; 3) by EALLIANCE™ prepaid card, your withdrawal amount will be deposited to the card minus bank charges; this may take between 30 seconds to 3 hours; 4) by bank transfer, your withdrawal amount will be transferred to your bank account minus bank charges; this may take between 1 hour to 72 hours or more depending on your bank.
      Any withdrawal amount deposited to the recipient's wallet exceeding the agreed designated amount will be considered an overpayment. Upon notification and instruction, you will be required to refund the excess amount as instructed.
      In the event of failure to repay such overpayment, EALLIANCE™ is authorized at any time, with or without notice, and to the extent permitted by law, to recover all or part of the designated amount to which you will be entitled in subsequent exchange or withdrawal transactions to satisfy the overpayment.
   5. Purchasing operations
      To start a transaction:
      Make sure you have sufficient funds on the payment method or mobile wallets supported by our application, which you would like to use to send us the purchase amount, by following the instructions of the different steps provided by the interface of our mobile application;
      Understand that it is the exchange rate valid for the period, which will determine the amount in USD, Bitcoin, and other virtual currencies supported by us plus the applicable fees, which will be transferred to the indicated cryptocurrency wallet according to your purchase request;
      If you go to an authorized distributor/agent, you will be served immediately upon paying the purchase amount to them. If you use a bank card, bank account, or mobile money (GSM transfer) to transfer the payment amount, once the transfer is confirmed, the money will be debited from your account and become the property of EALLIANCE™ irrevocably.
      Upon receipt of the purchase amount, your EALLIANCE™ wallet will be credited with the corresponding amount in bitcoin, less any applicable fees. You will receive a notification of the successful transfer of bitcoin to the recipient wallet.
      In the event that you have not received notification of the successful transaction, and if after checking your wallet you find that you have not received anything, we will either: (1) continue to retry the transaction for 5 days or (2) cancel the transaction by returning your money to the account that transferred the funds according to the order currency, without incurring any additional obligation or liability.
3. Certain Risks
   1. Please note that, as any investment in crypto assets is speculative, it is subject to a risk of loss.
   2. Because Bitcoin and other crypto assets are highly volatile, holding them is subject to substantial risk of loss. The value of your holdings can decrease in a fraction of a second, before, during, or just after a transaction or trade. Be assured that we will honor the stated exchange rate based on the USD amount received from your EALLIANCE™ wallet. However, we assume no responsibility, and you agree to hold us free and clear of any liability, for fluctuations in the value of Bitcoin and any other crypto assets in your own possession or during a Bitcoin transfer from your EALLIANCE™ wallet to another EALLIANCE™ wallet, or to an external wallet on the Bitcoin network. Even pending transactions are subject to fluctuation.
   3. When making transactions, it is your responsibility to ensure that the recipient wallet address is correct and that the wallet really belongs to the intended recipient. In the event of a recipient error, you acknowledge and agree that you alone are responsible and that EALLIANCE™ bears no liability. All blockchain-based transactions are irreversible. EALLIANCE™ cannot block or reverse any transaction that has been validated and confirmed by the Bitcoin network.
   4. Please note that the transfer of Bitcoin on the EALLIANCE™ network is instantaneous, between EALLIANCE™ users to another user with an EALLIANCE™ wallet. But transferring Bitcoin issued to an external wallet on the Bitcoin network or from an external wallet on the Bitcoin network to an EALLIANCE™ wallet is not instantaneous. Once you initiate a transfer transaction from an EALLIANCE™ wallet to an external wallet or from an external wallet on the Bitcoin network to an EALLIANCE™ wallet, the transfer will not be confirmed for some time (usually less than an hour, but it can take up to a day or more) while you wait for sufficient confirmation of the transaction by the Bitcoin network. Bitcoins associated with pending transfers will not be included in your EALLIANCE™ wallet balance or available for redemption.
   5. When you make an online request to purchase Bitcoin or other virtual currency supported by EALLIANCE™, we will make every effort to serve you in a timely manner. If we are unable to deliver the requested currency or crypto assets, we are committed to cancel the transaction. In case the transaction is cancelled, EALLIANCE™ is under an obligation to credit your EALLIANCE™ wallet with the amount of the unsuccessful transaction.
   6. When transferring money from your bank account or mobile transfer wallet or from prepaid bank cards to an EALLIANCE™ bank account to purchase Bitcoin, please note that it may not be instantaneous. Transfers within an area, within the same bank network or within the same banking company can be completed within the same day (business days), if all information provided for the transfer is correct. The time frame for transfers outside the same banking area varies according to local country regulations, and may take a few days to a week to be confirmed depending on your financial institution's procedures. Transfers from Mobile Money wallets (GSM networks) to an EALLIANCE™ account are normally instantaneous. A pending transfer is not supported by EALLIANCE™. As a result, you will only be served once your transfer or payment into the EALLIANCE™ bank account is confirmed.
   7. The emergence of digital currencies may generate in the future, legislative, regulatory actions or law changes at the national or international level. As a result, your transactions may be subject to various reporting or other obligations. Any of these changes could adversely affect the use, transfer, exchange and value of crypto assets.
   8. We reserve the right to set limits on the amount of purchases, transactions and exchanges according to the requirements of the financial laws and regulations of your country. We may block, or refuse to process any transaction as required by law due to, for example, suspected money laundering, illegal activity, online fraud as required by applicable regulations or in response to a subpoena, court order or other enforceable government order.
   9. Natural disasters, system failure or other emergencies and unforeseen significant changes in the external environment, beyond our control, may affect your transactions. These force majeure circumstances may result in lost purchasing, trading and payment opportunities, resulting in lost profits. Rest assured that we will take urgent steps to resolve the problem. However, we are not able to determine the details of the failed transaction. You accept the risk of delay of a transaction for any reason whatsoever, and you agree that EALLIANCE™ is not liable for any damages or losses related to or resulting from said delays or delays.
   10. EALLIANCE™ provides you with the ability to reset your EALLIANCE™ wallet password if you forget it, by following the recovery procedure.
4. Opening an EALLIANCE™ wallet
   1. To use our services, you must register on our app or through a link provided by one of our partners (distributor or authorized agent), to open an EALLIANCE™ wallet.
   2. When you register, you must provide some or all of the following information:
      Your Last Name and First Name;
      Your E-mail address;
      Your telephone number;
      Your date of birth;
      Your home address;
      Your personal identification number;
      Your valid ID or passport number;
      Copy of government identification document;
      Your nationality;
      Your username and password;
      Your tax identification number;
      Copies of any supporting company documents if you are a company;
      We may request other information about you or your company from time to time.
   3. In order to use the EALLIANCE™ services and products, it is necessary that the information you have provided is complete and accurate. Please note that this information is subject to our own verification and validation. You should update any missing information immediately or make changes if there has been a renewal of an identification document after the previous one expires. You agree that we may use digital data security solution providers, fraud management agencies, national databases, population registries, credit bureaus, and others to perform searches that we deem necessary to verify your identity and the accuracy of your EALLIANCE™ wallet information. These searches are necessary for us to fulfill our legal obligations in managing fraud risk as a financial services business.
   4. All your information is stored by EALLIANCE™ for a period of seven (07) years or such other periods as EALLIANCE™ may determine to comply with the requirements of applicable laws and legislation for risk management, security, archival and record keeping purposes.
   5. You are permitted to open a single EALLIANCE™ wallet in your own name. Any attempts to open a second EALLIANCE™ wallet with the same information are prohibited.
   6. You must reside in one of the eligible countries or jurisdictions to use the EALLIANCE™ services and products. Certain embargoed countries or jurisdictions are not eligible to use the EALLIANCE™ services and products. For example, you may not reside in any of the following countries: Yemen, North Korea, Palestinian Territories and Gaza Strip, Somalia, South Sudan, Sudan, Syria, Afghanistan, Iraq, Iran, Crimea Region etc...
   7. There may be times when, due to legal, governmental sanctions, or other legal requirements, we are required to (1) block your wallet and the assets on your wallet, (2) deactivate or delete your wallet, (3) transfer Bitcoins from your EALLIANCE™ wallet to a wallet specified by governmental authorities, or (4) ask you to empty your EALLIANCE™ wallet within a certain time period. EALLIANCE™ is not responsible for any losses, direct or indirect, from brief seizures, levies, subpoenas, warrants, or other legal orders, that you may suffer as a result of our compliance with applicable laws, and the directives of any governmental authorities.
5. Security and Terms of Use
   1. Your security is our priority. In order not to compromise your Wallets, we urge you to follow the following security guidelines:
      When you open your wallet, we encourage you to have it verified with the data sent by e-mail;
      Change your password immediately upon first login to your wallet;
      Choose complex passwords with lower case letters, upper case letters, numbers and, if possible, special characters such as % $ & " and others;
      Never share your passwords with anyone, not even EALLIANCE™ employees or partners. We will never ask you to give us your passwords. Notify us immediately if someone asks for them;
      Memorize your PINs, but do not give them to anyone. This is the only thing you will receive via text message;
      A surprising number of Gmail, Yahoo, Hotmail and other accounts have been hacked and maybe yours too. So, follow the procedures communicated by the authorized distributor. If you have a question, contact them;
      You are required not to reuse any old password for your EALLIANCE™ wallet or use your EALLIANCE™ wallet password on other online sites or mobile applications;
      You are responsible for maintaining appropriate security and control over any login, password, pin or other code you use to access your EALLIANCE™ wallet.
      You are responsible for updating your email address and other contact information in your EALLIANCE™ wallet to receive our alerts and notifications that we may send you. We are not responsible for any losses you may suffer due to the compromise of your email credentials, loss of a personal device or failure to follow or act on instructions from alerts, notices and notifications we may send to you.
      You are required to report any unauthorized access or utilization of your EALLIANCE™ wallet to us by contacting one of our distributors or Authorized Agents or by writing to us at secure@ealliance.trade
      If you are using a computer, make sure you have installed anti-virus software with the latest updates.
      If others have access to your computer, make sure you have logged out of your wallet when you are through with it.
      If you are logged into your EALLIANCE™ wallet via a web browser, make sure you are logged into ealliance.trade. You can see this in the address bar by clicking in the address bar of your browser. The address should start like this:

6. Taxes
   1. It is your responsibility to determine the extent to which you report and remit to the appropriate tax authorities the correct amounts of taxes and duties that apply to all transactions associated with receipts of funds or transfers of cryptocurrencies, collateralized profits, payments received, and transactions you make through our application. Your transaction history is available on your EALLIANCE™ wallet. We are not required to determine whether any taxes or duties apply and are not responsible for calculating the collection, reporting, or payment of any taxes or duties to any authority regarding such transactions.
   2. The charges we apply therefore include Value Added Tax (VAT).
7. Privacy
   1. Respect for privacy is of paramount importance to EALLIANCE™. To better understand our commitment to your privacy and our use and disclosure of your personal information, please read our Privacy Policy (hyperlink).
   2. By using the EALLIANCE™ services and products, you agree that EALLIANCE™ may send you notices, notifications or other communications relating to your transactions and any other use of the services requiring notifications by E-mail to your own E-mail address, SMS message or phone call to your phone number or by posting them on the site.
   3. If you receive notifications including information from other users via the services (receipts, sending bitcoins or when making a payment), you agree to keep such information confidential and to use it only in connection with the EALLIANCE™ services. Under no circumstances shall you disclose them or share a user's information with any third party, except as necessary for the third party to complete a transaction on EALLIANCE™ or by consent of the user.
   4. You agree that we may receive personal information or material about you from the following persons or entities:
      - Product and Service Providers, Subsidiaries, Masters, Distributors, Agents and any other Partner Company or for business purposes related to your use of our Marketing and Business Development services;
      - Lawyers or auditors of the Wallets, courts of competent jurisdiction in connection with legal or audit proceedings, even if such proceedings are public in nature;
      - Local and international law enforcement or any governmental regulatory body to assist in the prevention, detection, prosecution of criminal or fraudulent activity and others, to conduct our business in compliance with legal, governmental and regulatory requirements.
   5. You agree that we may disclose personal information or material about you to the following persons:
      - Suppliers of products and services, our Subsidiaries, our Masters, our Distributors, our Agents and any other Partner Company for commercial, marketing and business development purposes related to your use of our services;
      - Lawyers or auditors, courts of competent jurisdiction in connection with legal or audit proceedings, even if such proceedings are public in nature;
      - Local and international law enforcement or any government regulatory agency to assist in the prevention, detection, prosecution of criminal or fraudulent activity and others, to conduct our business in compliance with legal, governmental and regulatory requirements.
   6. Your calls, e-mails, text messages, online comments and publications may be monitored or recorded for use in business control, information quality and training practices, which are designed to ensure the efficient operation of systems, prevent unauthorized use of our communications and information system and prevent crime.
   7. If you authorize a third party to access or connect to your EALLIANCE™ wallet, you acknowledge that such authorization to a third party to conduct specific transactions on your behalf does not relieve you of your responsibilities under this Agreement.
8. Authorization to use our app and website
   1. We grant you a non-exclusive authorization and limited license, subject to the terms and conditions of this Agreement, for your access to and use of the App, the Website, the Content, the available features and the Information, solely for purposes authorized and approved by EALLIANCE™. Any other use of the application or the information website is expressly prohibited. All other rights to use the application and website contents are reserved by us and our licensors. We reserve all rights to the Application and Website Content, and you agree that this Agreement does not grant you any rights or licenses beyond the license granted in this Agreement.
   2. In order to continue to innovate or improve our services and to better serve you, there will be updates to the Application and changes to the information, additions of links to new materials, new products and services and new partners on the Website from time to time without prior notice. Therefore, you must review, verify and comply with all new changes at all times.
9. Personnal responsabilities
   1. You agree to comply with the terms of this Agreement and you formally undertake not to:
      - Introduce malware, viruses, spiders, robots, or any other automatic devices or means into the EALLIANCE™ system.
      - Attempt any unauthorized intrusion or access or use any equipment or device in a manner that could damage, overburden, disable, interfere with, or impair any part of the EALLIANCE™ application, site, server, computer, or database connected to and/or on which the EALLIANCE™ site or application is stored.
      - Violate or assist any third party to violate any law, infringe any copyright, patent, trademark, intellectual property right.
   2. We reserve the right and freedom to monitor, review, retain or disclose any information necessary to satisfy any applicable law, regulation, legal process or governmental request.
   3. You agree, declare, warrant and certify that any cryptocurrency or cryptocurrency value approximating a local or international currency that you use via the EALLIANCE™ App is owned by you or that you are duly authorized to transact with.
   4. You acknowledge that, the Name, Logo, Application, Site content, slogan designs, services and products, software, text, images, logos, product or service names, video and audio, trademarks, copyrights and related intellectual property rights are the property of EALLIANCE™ and its subsidiaries and affiliates. While accessible and freely downloadable for personal, non-commercial reading or viewing, they may not be reproduced in whole or in part or modified without the prior written consent of EALLIANCE™.
10. Miscellaneous
    1. Neither EALLIANCE™ nor any associated person or representative of EALLIANCE™ represents or warrants that the Site and the Application or the products and services, or any information obtained through the Site or the Application is reliable, error-free, accurate. Please note that the information or contents of the Site and the Application are provided "as is" and without warranty of any kind. Your use of its contents and any materials obtained are at your own risk.
    2. The Company disclaims all warranties of any kind, whether express, implied, statutory or otherwise, hereby. However, this does not affect any warranty not implied or limited under applicable law. In no event shall EALLIANCE™, its officers, directors, subsidiaries, masters, distributors, agents, employees, or suppliers, be liable for damages of any kind, whether for legal, punitive, personal emotional distress, loss of revenue, loss of profits, loss of data, loss of business or savings, and loss of any kind resulting from your misuse of, or inability to use, the application or website information and content, products or services of EALLIANCE™.
    3. We will not be liable for any loss or damage caused by an attack, viruses or other harmful computer material that may damage your computer equipment computer program, computer data resulting from your use of our application or the information website, or relating to your copying or downloading of any material through them .
    4. You acknowledge and agree to hold free and harmless EALLIANCE™, its subsidiaries, officers, directors, employees, and all of its partners and affiliates, successors, assigns, and respective product and service providers from and against any and all claims, damages, liabilities, losses, awards, expenses, costs, judgments, or fees, including attorneys' fees, relating to or arising out of any transactions, your use of the application, the contents of this website or the products and services, your breach of the terms of this agreement.
    5. This Agreement constitutes a legally binding contract between "You, your successors and assigns" and "Us, our successors and assigns".
    6. No delay or failure by You or Us to exercise any right or remedy hereunder shall constitute a waiver thereof, nor shall any remedy preclude any subsequent or other exercise thereof. The remedies and rights provided herein are cumulative and not exclusive of any other rights and remedies as required by law.
    7. For example, if any provision of this Agreement is found to be unenforceable or invalid by a duly appointed court or administrative body of competent jurisdiction, the unenforceability or invalidity of such provision shall in no way affect the validity or effectiveness of the remaining provisions hereof in full force and effect.
    8. This Agreement and the Privacy Policy constitute the sole and entire agreement between you and EALLIANCE™ with respect to the Application, the Website, the Services and Products, and supersede all prior written and oral agreements, representations and warranties with respect to the Application and EALLIANCE™.
    9. This Agreement is based on the laws and regulations that govern companies in South Africa.
    10. Nothing herein shall preclude either party from applying to any court of competent jurisdiction for an injunction or urgent relief.
